The Company provides legal services to foreign investors seeking to enter the Saudi market and establish investments in the Kingdom. Our work includes identifying the appropriate legal and regulatory pathway, structuring the investment, supporting registration, entity formation and licensing procedures, and addressing legal and regulatory matters throughout the investment lifecycle.
Our role in this area is focused on legal and regulatory matters and does not extend to specialized commercial, operational, financial or accounting advice.
Assessing the investor’s legal status, proposed activity and intended structure from a legal and regulatory perspective, identifying available pathways for entering the Saudi market, and comparing the appropriate legal options before commencing registration, entity formation or licensing procedures
Providing legal support in connection with investment registration with the Ministry of Investment, including determining whether registration requirements apply to the investor and proposed activity, reviewing applicable legal and regulatory requirements, preparing and reviewing the required documents and information, and supporting the registration application and related procedures with the Ministry
Providing legal services relating to investment structuring and entity formation in the Kingdom, including assessing the appropriate legal form, structuring ownership and management arrangements, relationships among shareholders or partners, and governance arrangements based on the nature of the entity and investment, as well as preparing and reviewing constitutional documents and related agreements and supporting the legal procedures associated with formation
Providing legal support in identifying the licenses and regulatory approvals required to conduct the relevant activity, reviewing their requirements and procedures, and supporting the process of satisfying them before the competent authorities, based on the nature of the investment, activity and entity
Providing legal services in relation to acquisitions, joint ventures and investment transactions, including legal due diligence, legal structuring of the transaction, drafting and reviewing agreements, defining the rights and obligations of the parties, and reviewing relevant regulatory approvals and requirements
Providing legal and regulatory advice on special pathways and regulatory frameworks that may apply to an investment, including Regional Headquarters (RHQ), Special Economic Zones (SEZs), investment-related real estate matters, and requirements relating to government procurement and local content, depending on the nature of the investment and activity
Providing legal support for ongoing regulatory compliance relating to the investment and the entity, including updating registrations, licenses and regulatory information, and reviewing governance, beneficial ownership and other regulatory requirements relevant to the activity
Providing legal services to protect investors’ rights and address disputes and regulatory matters arising in connection with an investment, including assessing the legal position and available options, preparing and pursuing administrative grievances and objections, negotiation and settlement, and representing clients in arbitration and litigation proceedings as appropriate to the nature of the dispute
Providing legal services in connection with restructuring investments or exiting them, including share or asset sales, mergers, reorganizations and liquidation, drafting and reviewing related documents and agreements, assessing the legal and regulatory implications of these transactions, and supporting the amendment or termination of registrations and licenses associated with the investment
